Terms of Service

This English translation is provided for convenience. In case of any conflict or inconsistency between the English and the German version, the German version prevails.

Building Brands LLC (the “Provider”) makes the software Orbiq (the “Software”) available exclusively to businesses (Unternehmer) within the meaning of Section 14 of the German Civil Code (BGB).

1. Subject matter

The Software is provided as an online service (SaaS): attribution and profit analysis of advertising and store data, creative analysis, AI-assisted creation of advertising content, transmission of events to advertising platforms, and competitor research. The scope of features follows from the selected plan (Starter, Pro, Agency) as set out in the current service description under “Account → Plan”.

2. Conclusion of the contract, trial

The contract is concluded when sign-up is completed. The trial (duration as stated on the sign-up page) is free of charge and ends automatically; if no plan is chosen, access is locked and the data is kept for 30 days.

3. Prices, payment

Prices are in US dollars plus statutory VAT, where applicable. Billing is monthly in advance. AI usage is billed via credits (credits included in the plan, additional credits can be purchased); unused credits do not expire at the end of the billing month as long as the contract is running. One-time services (e.g. setup by the Provider) are charged separately.

4. Term, cancellation

The contract runs for an indefinite period with a monthly billing period. The customer can cancel at any time, effective at the end of the current billing month – directly in the Software under “Account → Plan → Cancel subscription” or by email to hello@orbiq.studio. The Provider can terminate with 30 days’ notice to the end of a month. The right to extraordinary termination remains unaffected. After the contract ends, the workspace and data are deleted after 30 days; an export is possible before then.

5. Customer obligations

The customer ensures that they are entitled to use the connected data sources (store, ad accounts, email tool) and that the tracking script is used in their store in compliance with data protection law (informing visitors, obtaining consent where required). Access credentials must be kept secret. The Software must not be used for unlawful content or to attack third parties.

6. Rights of use, protection of the Software

For the term of the contract, the customer receives a simple, non-transferable right to use the Software for their own purposes within the scope of their plan. All rights to the Software (program code, interface, analysis logic, prompts, documentation) remain with the Provider. In particular, it is prohibited to: copy, replicate, decompile or reverse engineer the Software or parts of it, or extract its source code, unless this is mandatorily permitted under Sections 69d, 69e of the German Copyright Act (UrhG); read data automatically (scraping, bots) outside the interfaces provided for this purpose; make the Software available to third parties, resell or rent it, or offer it as one’s own service; share access credentials or circumvent security and license checks. In the event of violations, the Provider may block access and terminate without notice; further claims (injunctive relief, damages) remain reserved.

7. Availability, changes

The Provider aims for an availability of 99% as a monthly average; maintenance windows and disruptions at third-party providers (Shopify, Meta, Google, Klaviyo, AI providers, Cloudflare) are excluded. The Provider may further develop and change features as long as the core purpose is preserved.

8. AI content

Texts and images created with the Software are suggestions. The customer reviews them before use, in particular for compliance with advertising and competition law, trademark law and copyright, and for the accuracy of claims. Rights of use to the generated content belong to the customer, unless the terms of the AI providers conflict with this.

9. Liability

The Provider is liable without limitation for intent and gross negligence and under the German Product Liability Act (Produkthaftungsgesetz). In the case of slight negligence, the Provider is liable only for breach of essential contractual obligations, limited to the foreseeable damage typical for the contract, and at most to the fees paid in the last 12 months. The Provider is not liable for decisions the customer makes on the basis of the analyses (e.g. advertising budgets, transmission of events to advertising platforms).

10. Data protection

The Privacy Policy applies. For data that the customer has processed through the Software, the parties conclude a data processing agreement (DPA annex); it becomes part of the contract upon acceptance of the Terms of Service.

11. Final provisions

The law of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). The place of jurisdiction, to the extent permitted, is the Provider’s registered office. Should individual provisions be invalid, the remainder of the contract remains effective.
